The proposed amendments to the 221A bylaws are to: establish membership classes that protect tenant and staff participation, set the board size at 5–12 directors, permit Board member honoraria, and include other changes such as model bylaw standardization and updates to language and officer titles.
We ask that members and prospective members maintain good standing by paying your membership dues. If you are interested in shaping the future of 221A we invite you to become a member, which gives you the right to vote at the 2025 AGM.

Alterations to bylaws
17 (1) A society may alter its bylaws by filing with the registrar a bylaw alteration application.
(2) A society must not submit a bylaw alteration application to the registrar for filing unless the alteration proposed by the application has been authorized by special resolution.
(3) An alteration proposed in a bylaw alteration application takes effect when the bylaw alteration application is filed with the registrar.
(4) After a society alters its bylaws under this section, the registrar must furnish to the society a certified copy of the altered bylaws.
(5) Even if the bylaws of a society identify a provision of the bylaws as being unalterable, the society may alter the provision in accordance with this Act.
Special Resolution
Special Resolution to Amend the Bylaws of 221A
221A ARTIST RUN CENTRE SOCIETY
(the “Society”)
WHEREAS:
A. The Society wishes to replace its Bylaws.
B. The alteration of the Bylaws of the Society must be approved by a Special Resolution pursuant to section 17 of the Societies Act, S.B.C. 2015, c. 18.
RESOLVED, AS SPECIAL RESOLUTIONS, THAT:
1. The Bylaws of the Society be altered by deleting and cancelling the Society’s existing Bylaws and creating and adopting the form of Bylaws attached as Schedule “B” to this resolution as the Bylaws of the Society.
2. Any one Director and/or Senior Manager of the Society (the “Authorized Signatory”) is hereby authorized to file a bylaw alteration application with Province of British Columbia Registrar and to do all such other and further acts as are necessary or desirable to give effect to the alteration to the Bylaws.
3. The Society hereby appoints Muse Law to act as its agent for filing the bylaw alteration application with the Province of British Columbia Registrar.
